These Terms of Service (“Terms”) govern your access to and use of websites, applications, and services offered by Sunbeam Inc. (“Sunbeam,” “we,” “us,” or “our”) (collectively, the “Services”). By accessing or using the Services, you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization.

If you do not agree, do not use the Services. We may modify these Terms from time to time; we will indicate the date of the latest revision above. Continued use after changes become effective constitutes acceptance of the updated Terms, except where applicable law requires a different process.

1. Eligibility and accounts

You must be able to form a binding contract in your jurisdiction to use the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly of any unauthorized use through the contact or support options we provide.

2. The Services

Sunbeam provides tools to generate, preview, host, or assist with websites and related content. Features may change; we may add, modify, or discontinue functionality with reasonable notice where practicable. We do not guarantee uninterrupted or error-free operation.

3. Your content and license to us

You retain ownership of content and materials you submit (“Your Content”). To operate the Services, you grant Sunbeam a non-exclusive, worldwide, royalty-free license to host, reproduce, process, display, and create derivative works from Your Content solely to provide, improve, secure, and promote the Services, and as otherwise described in our Privacy Policy.

You represent that you have all rights necessary to grant this license and that Your Content does not violate law or third-party rights. We may remove or restrict content that we reasonably believe violates these Terms or creates risk for Sunbeam or others.

4. AI-generated output

Parts of the Services use artificial intelligence. Output may be inaccurate, incomplete, or unsuitable for your use case. You are responsible for reviewing, editing, and using generated content appropriately, including compliance with advertising, professional, and industry rules. Sunbeam does not warrant that AI output is original, non-infringing, or fit for a particular purpose.

5. Acceptable use

You agree not to:

  • Use the Services in violation of law or third-party rights;
  • Upload malware, attempt unauthorized access, or disrupt the Services or other users;
  • Scrape, data-mine, or automate access except via documented APIs or with our written consent;
  • Misrepresent your identity, spoof headers, or manipulate usage metrics;
  • Use the Services to build or distribute unlawful, fraudulent, hateful, harassing, or exploitative content;
  • Reverse engineer the Services except where applicable law prohibits this restriction.

6. Plans, trials, and fees

Some features may be free; others may require a paid plan or separate agreement. Fees, taxes, billing cycles, and cancellation terms are presented at purchase or in order documentation. Unless stated otherwise, fees are non-refundable except as required by law. We may change pricing with reasonable advance notice.

7. Third-party services

The Services may integrate with or link to third-party services (for example, authentication providers, analytics, or domain registrars). Those services are governed by their own terms and privacy policies. Sunbeam is not responsible for third-party services.

8. Sunbeam intellectual property

The Services, including software, branding, templates (excluding Your Content), and documentation, are owned by Sunbeam or its licensors and are protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, no rights are transferred to you.

9. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUNBEAM DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR THAT GENERATED WEBSITES WILL ACHIEVE ANY SPECIFIC BUSINESS RESULT.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUNBEAM AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUNBEAM’S AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID SUNBEAM FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100), IF YOU HAVE NOT PAID FEES.

Some jurisdictions do not allow certain limitations; in those jurisdictions, our liability is limited to the maximum extent permitted by law.

11. Indemnity

You will defend and indemnify Sunbeam and its affiliates, officers, directors, employees, and agents against any third-party claims, damages, liabilities, and costs (including reasonable attorneys’ fees) arising out of Your Content, your use of the Services, or your violation of these Terms or law, except to the extent caused by Sunbeam’s willful misconduct.

12. Suspension and termination

We may suspend or terminate access to the Services if you materially breach these Terms, create risk or legal exposure, or if we discontinue the Services. You may stop using the Services at any time. Provisions that by their nature should survive (including ownership, disclaimers, limitations, indemnity, and governing law) will survive termination.

13. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-law rules, unless mandatory consumer protection laws in your jurisdiction require otherwise. Exclusive jurisdiction and venue for disputes will lie in the state or federal courts located in Delaware, USA, subject to applicable mandatory provisions for consumers in your country of residence.

14. General

  • Entire agreement — These Terms and any policies referenced (including the Privacy Policy) constitute the entire agreement regarding the Services and supersede prior agreements on the subject.
  • Assignment — You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
  • No waiver — Failure to enforce a provision is not a waiver.
  • Severability — If a provision is unenforceable, the remaining provisions remain in effect.
